By accessing OK2BX.org, making a donation, buying merchandise or tickets, registering for an event, or otherwise using services offered by OK2BX Foundation, you agree to these Terms. Separate rules posted for a film submission, festival, contest, grant, scholarship, or event also apply. |
1. About OK2BX and These Terms
OK2BX Foundation ("OK2BX," "we," "us," or "our") is a Texas nonprofit corporation recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code. We operate OK2BX.org (the "Site") and programs that celebrate youth voices, kindness, inclusion, and filmmaking, including the OK2BX Film Festival.
These Terms govern the Site and services offered directly by OK2BX. They do not replace additional eligibility requirements, release forms, submission rules, award terms, event policies, or other conditions posted for a particular program. If program-specific terms conflict with these Terms, the program-specific terms control for that program.
2. Eligibility and Youth Participants
You may use the Site only if you can form a binding agreement or if a parent or legal guardian accepts these Terms for you. If you are under the age of majority where you live, you represent that your parent or legal guardian has reviewed and agreed to these Terms and any applicable program rules.
The Site is not intended for children under 13 to submit personal information directly. A child under 13 should not create an account, submit a form, make a purchase or donation, or otherwise provide personal information through the Site. A parent, guardian, teacher, or authorized adult should complete any permitted transaction or communication on the child’s behalf. Our collection and use of personal information are addressed in our Privacy Policy.
3. Acceptable Use
You agree to use the Site lawfully and respectfully. You may not:
- violate any law, regulation, court order, or third-party right;
- upload or transmit material that is unlawful, threatening, harassing, defamatory, hateful, discriminatory, obscene, exploitative, or invasive of privacy;
- impersonate another person or misrepresent your identity, affiliation, age, authority, or eligibility;
- interfere with Site security or operation, introduce malicious code, scrape or harvest data without permission, or attempt unauthorized access;
- use the Site, its contact information, or its content for spam, fraud, commercial solicitation, or unauthorized automated activity; or
- encourage or help another person do any of the above.
We may suspend or block access, remove content, cancel a transaction or participation, or take other reasonable action when we believe these Terms or applicable rules have been violated.
4. Film Festival Submissions and Creative Works
Film submissions are generally handled through FilmFreeway and are also subject to FilmFreeway’s terms and the rules displayed on the applicable OK2BX FilmFreeway listing. Submission does not guarantee selection, screening, an award, feedback, reimbursement, or participation in any event.
Ownership. You retain ownership of a film or other creative work you submit. By submitting it for an OK2BX program, you grant OK2BX a nonexclusive, worldwide, royalty-free license during the submission, judging, festival, and reasonable archival and promotional periods to access, review, evaluate, exhibit, screen, display, and technically reproduce the work as reasonably needed to administer and promote the program. For promotional use, this license includes the work’s title, synopsis, still images, trailer or excerpts, creator names, and submitted publicity materials. Any broader use requires separate permission unless stated in the applicable program rules.
Permissions and authority. The submitter represents and warrants that they are authorized to submit the work and grant the stated rights; that the submission and OK2BX’s permitted use will not infringe copyright, trademark, privacy, publicity, contractual, music, performance, or other rights; and that all required licenses, releases, and permissions have been obtained. If a submitter is a minor, the parent or legal guardian accepting the applicable rules confirms that authority. OK2BX may request documentation.
Selection and programming. To the extent permitted by law, OK2BX may determine eligibility, judging, selection, scheduling, categories, awards, and programming in its reasonable discretion and may modify or cancel a program because of safety, venue, legal, technical, public-health, force-majeure, or other operational circumstances. Material changes will be communicated when reasonably practicable.
5. Event Registration and Tickets
Ticket sales or registrations may be processed through FilmFreeway or another provider. Prices, fees, transferability, refund terms, admission requirements, schedules, accessibility information, and event-specific conditions shown at the time of purchase or registration are part of your agreement. Third-party processing fees may be nonrefundable.
Programs, speakers, venues, formats, and schedules may change. If OK2BX cancels a paid event, our responsibility is limited to the remedy stated in the applicable event policy or, if none is stated, the ticket price paid directly to OK2BX, excluding nonrefundable third-party fees to the extent permitted by law. Attendees must follow venue rules and reasonable safety instructions.
6. Donations
Donations made through the Site may be processed using GiveWP and third-party payment processors. You represent that you are authorized to use the payment method and that the information you provide is accurate. A donation is a voluntary charitable contribution and is not a purchase of goods or services unless expressly stated otherwise.
Donations are generally final and nonrefundable. If you believe a donation was made in error, duplicated, unauthorized, or entered in the wrong amount, contact founders@ok2bx.org promptly. Refunds or corrections are considered case by case, subject to applicable law, available funds, payment-processor rules, and any tax acknowledgment already issued. Recurring donors may request cancellation of future charges, but cancellation does not automatically refund earlier donations.
Tax deductibility depends on individual circumstances and applicable law. OK2BX does not provide tax, legal, or financial advice. If a donor receives goods or services in connection with a payment, any acknowledgment may identify the good-faith value of those benefits.
7. Merchandise and the Online Store
Merchandise may be sold through a WooCommerce-powered store. Product descriptions, availability, prices, taxes, shipping charges, estimated delivery times, and any return or refund policy displayed at checkout or on the product page are incorporated into these Terms. We may correct errors, limit quantities, reject or cancel orders, or substitute a refund when an item is unavailable.
Orders are not accepted until payment is authorized and we send confirmation. Title and risk of loss pass as provided by applicable law and the shipping terms shown at checkout. Colors and appearance may vary by device and production run. Except as required by law or stated in the policy shown at purchase, customized, personalized, clearance, or final-sale items may not be returnable. Contact founders@ok2bx.org with an order number regarding damaged, defective, incorrect, or missing items.
8. Payments and Third-Party Services
The Site may link to or integrate services operated by FilmFreeway, GiveWP, WooCommerce, payment processors, shipping providers, video platforms, social networks, or other third parties. Those services may have their own terms and privacy policies. OK2BX does not control and is not responsible for third-party services, content, security, availability, acts, or omissions. A link or integration does not necessarily imply endorsement.
9. OK2BX Content and Intellectual Property
Except for user-submitted works and third-party materials, the Site and its text, graphics, logos, photographs, videos, designs, selection, arrangement, and other content are owned by or licensed to OK2BX and are protected by intellectual-property laws. OK2BX, the OK2BX name and logo, and festival branding may not be used in a way that suggests sponsorship, endorsement, or affiliation without written permission.
We grant you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for personal, educational, and other lawful noncommercial purposes. You may not reproduce, distribute, modify, publicly display, sell, license, or exploit Site content without permission, except as allowed by law.
10. User Communications and Feedback
If you send us comments, suggestions, testimonials, photographs, or other materials outside a formal submission process, you represent that you have the right to do so. You grant OK2BX a nonexclusive, worldwide, royalty-free license to use, reproduce, and display those materials for the purpose for which they were provided. We will request additional permission before using a private communication as a public testimonial unless your context or consent clearly authorizes that use.
Do not send confidential, sensitive, or proprietary material unless we have agreed in writing to receive it. General ideas or feedback may be used without restriction or compensation, but we do not claim ownership of your preexisting intellectual property.
11. Copyright Concerns
If you believe content on the Site infringes your copyright, email founders@ok2bx.org with: identification of the copyrighted work; identification and location of the allegedly infringing material; your contact information; a statement of your good-faith belief that the use is unauthorized; a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We may remove or restrict material while reviewing a claim.
12. Privacy
Our Privacy Policy explains how we collect, use, share, and protect personal information. By using the Site, you acknowledge that policy. If these Terms and the Privacy Policy conflict regarding personal-information practices, the Privacy Policy controls.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, CONTENT, PROGRAMS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” OK2BX DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY. WE DO NOT GUARANTEE THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT PARTICIPATION WILL PRODUCE ANY PARTICULAR EDUCATIONAL, PROFESSIONAL, FESTIVAL, AWARD, OR FUNDRAISING RESULT.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded. Educational and resource information on the Site is general information and is not legal, medical, mental-health, tax, or professional advice. If you or someone else is in immediate danger or experiencing a crisis, contact emergency services or an appropriate crisis resource rather than relying on the Site.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OK2BX AND ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, CONTRACTORS, SPONSORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OPPORTUNITIES, OR GOODWILL, ARISING FROM OR RELATED TO THE SITE, A THIRD-PARTY SERVICE, A SUBMISSION, A DONATION, A PURCHASE, OR PROGRAM PARTICIPATION, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF OK2BX FOR A CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO OK2BX FOR THE TRANSACTION OR PROGRAM GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT, OR (B) $100. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW, INCLUDING TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
15. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless OK2BX and its directors, officers, employees, volunteers, contractors, and agents from third-party claims, damages, liabilities, judgments, costs, and reasonable attorneys’ fees arising from your unlawful conduct, your material violation of these Terms or program rules, your submission or content, or your infringement of another person’s rights. This section does not require indemnification for OK2BX’s own negligence or misconduct where prohibited by law.
16. Changes, Suspension, and Termination
We may update the Site and these Terms. The revised Terms will be posted with a new effective date. Changes apply prospectively when posted unless law requires otherwise. Your continued use after the effective date constitutes acceptance of the revised Terms. Material program-specific changes will be handled under the applicable program rules.
We may suspend or discontinue all or part of the Site or a service. Sections that by their nature should survive termination—including intellectual-property, disclaimers, liability limits, indemnification, dispute, and general provisions—will survive.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Before filing a claim, you and OK2BX agree to try in good faith for at least 30 days to resolve the dispute informally after written notice. Notices to OK2BX must be sent to founders@ok2bx.org and the address below.
Unless applicable law requires otherwise, any court proceeding arising from these Terms or the Site must be brought in a state or federal court located in Dallas County, Texas, and each party consents to that court’s jurisdiction and venue. Nothing in this section prevents either party from seeking appropriate temporary or injunctive relief, and nothing waives rights that cannot legally be waived.
18. General Provisions
These Terms and applicable program-specific terms constitute the entire agreement concerning their subject matter. If a provision is found unenforceable, it will be modified only as much as needed to make it enforceable, and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; OK2BX may assign them in connection with a reorganization, merger, transfer of operations, or similar transaction. Headings are for convenience only. “Including” means “including without limitation.” Electronic communications and acceptances may satisfy writing and signature requirements to the extent permitted by law.
